In plain words
You keep what's yours and warrant that you can use it. Once you've paid in full, you receive the right to use what we made for you, within the limits of this document; open source files are only delivered if agreed. We may show the work in our portfolio unless you ask for confidentiality. We use AI to speed up repetitive tasks, always under a person's supervision, and we tell you so: we can't guarantee that an AI-generated element is registrable as a work or a trademark. You can ask us in writing not to process your material with third-party AI.
1. What's yours
You keep ownership of the logos, text, photos, videos, trademarks and data you give us. You authorize us to use them only to provide the service. You warrant that you hold the necessary rights to them and that their use doesn't infringe third-party rights (see Terms and conditions).
2. What we make for you: license or assignment
Until you pay for the service in full, the Studio keeps all rights to the work, which you may only use to review it. Once you've paid in full, the Studio assigns or licenses to you, depending on the type of deliverable, the right to use and exploit the final delivered work for the agreed purpose, non-exclusively for anything that includes third-party elements and exclusively for what was created originally for you, in Mexico and, unless otherwise agreed, worldwide, for an indefinite period.
The moral rights recognized by the Federal Copyright Law (such as the right to be credited as author and the right to the integrity of the work) can't be waived or transferred and are respected. That's why the Studio may ask you not to alter a work in a way that harms its integrity or its authors' reputation.
This is what you're given: the exported final files in the package's formats. Open source files (for example, AI, PSD, editing projects) aren't included unless agreed in writing at an extra cost.
3. Portfolio and confidentiality
The Studio may show the work done, with your name or brand, on its site, socials and presentation materials. If you'd rather your project stay confidential, tell us in writing before delivery and we'll respect it. What was published before the notice may remain in the historical archive.
4. Third-party elements
Works may include typefaces, music, images, templates or resources licensed from third parties. Those licenses have their own terms, which we'll point out when they apply, and may limit uses (for example, commercial use or mass printing). Costs of special licenses are quoted separately. We don't transfer rights over those elements beyond what their license allows.
5. How we use artificial intelligence
The Studio uses artificial intelligence tools to speed up repetitive and iterative tasks: exploring ideas and styles, making drafts and variations, supporting editing and adapting pieces to different formats. We don't present the work as "100% handmade".
Creative direction, judgment, review and quality control are done by people. No deliverable goes out without human review.
In photography and video of your product or business, we shoot and photograph the real product. We don't generate fake images that present it as something it isn't. (Commitment to be confirmed by the Studio.)
6. AI-generated works and registration
The law on works or elements generated with AI is evolving. We don't guarantee that an element created with AI support can be registered as a work with the National Copyright Institute or as a trademark, notice or design with IMPI, or that others can't generate similar elements. If you need registry protection for a logo or brand, tell us before starting: we can draw the main element without generative AI support. Trademark registration isn't included in any package.
7. Your material and AI tools
Some AI tools are third-party and may process the material we upload to them, including outside Mexico. We choose tools with adequate privacy options and don't upload confidential or sensitive information without your authorization. Each tool's terms determine how it treats that information. (Commitments on data handling by third-party tools: to be confirmed by the Studio based on the tools it uses.)
If you'd rather your material not be processed with third-party AI tools, ask us in writing before starting. We'll respect it, although that may extend the project's timing and costs, which we'll tell you before continuing.
More on personal data in the Privacy notice.
8. Third-party claims
If you or we receive a claim from a third party over an element included in a work, we'll notify each other immediately. If the claim is due to material you provided, you answer for it. If it's due to an element the Studio included that wasn't its own or licensed, the Studio will replace it at no cost with an equivalent one.
If the Spanish and English versions differ, the Spanish version prevails.
